Senior Legal Manager – Poland

What functions will you perform?

Key Responsibilities

  • Lead and coordinate the full legal support to the Group's Polish operations, ensuring alignment with local law and Group policies.
  • Coordinate the organization of Data Rooms, participate in Due Diligence processes, and coordinate the gathering of documentation required for transactions.
  • Lead and supervise the drafting, review and negotiation of every kind of legal agreements including  confidentiality agreements, binding and non-binding offers, letters of intent, sale-and-purchase agreements and other transaction-specific and ancillary documentation.
  • Coordinate and manage the relationship with, and preparation of documents for, notaries public and public registries, including authentication and legalization of powers of attorney and other documents when required.
  • Handle legal correspondence and maintain organized files.
  • Have an active role and participation in transaction negotiations
  • Participate in feasibility analysis and transaction structuring, and proactively identify legal risks associated with M&A transactions.
  • Provide legal support on general corporate, regulatory and commercial matters affecting the Group's Polish activity, including land lease/easement agreements for solar and wind projects, grid-connection agreements, EPC/O&M and PPA contracts, and corporate governance and compliance.
  • Coordinate with HR on employment-law matters affecting the local team.
  • Monitor Polish and EU regulatory developments relevant to the renewable energy sector (Energy Law, RES Act, grid-connection regime, wind-farm siting rules, data protection/GDPR) and advise the business accordingly.
  • Coordinate and manage the relationship with other Group departments and with external law firms involved in transactions and day-to-day legal matters.
  • Participate in the resolution of legal disputes and conflicts that may arise during the transaction lifecycle or ongoing operations.

Your profile

Our requirements

  • Minimum 5–7 years of experience in legal practice, including M&A activity, preferably within the renewable energy sector.
  • Combined law-firm and in-house experience is valued.
  • Demonstrated ability to work autonomously and lead the legal function for a country or business unit with limited local support.
  • Master's degree in Law from a Polish or EU-recognized university.
  • Qualification as attorney-at-law (radca prawny) or advocate (adwokat) under Polish law is preferred; candidates in the process of obtaining such qualification, or with equivalent standing, will also be considered.
  • Specialization in the energy and/or renewable energy sector is a plus.
  • Knowledge of Polish contract law (Civil Code) and the Commercial Companies Code (KSH), as well as regulations applicable to M&A transactions.
  • Knowledge of Polish energy-sector regulation (Energy Law, RES Act, grid-connection regime)
  • Financial and corporate-law knowledge.
  • Drafting skills in English and Polish; 
  • English: advanced (minimum C1); Spanish and/or Italian are a plus given the Group's international structure.
